Scope of practice includes mergers, acquisitions, dispositions, joint ventures and other strategic alliances, venture capital and other private placement financings. In addition, we counsel clients in general corporate affairs, corporate governance matters, licensing, employment, consulting and confidentiality agreements, and equity incentive plans.

On the transaction side, duties and responsibilities generally structuring transactions; preparing and negotiating transaction documents; preparing private placement memoranda for financings and coordinating with specialized counsel (such as IP, real-estate and tax) to ensure that transactions are completed on time.
